This Terms and Conditions Agreement (“Agreement”) is a binding contract between you (“User” or “you”) and Mnemorly (“we,” “us,” or “our”), governing your access to and use of the Mnemorly mobile application (“App”). By downloading, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, please do not use the App.

3. Description of Service
Mnemorly is designed to help you effectively memorize words using mnemonic techniques, AI-driven suggestions, and flashcards. The App allows you to create vivid visual associations and includes features such as an integrated translator supporting Russian, English, Spanish, and Ukrainian. Our primary focus is on English-speaking users learning Spanish and Spanish-speaking users learning English, though the App is available for all.
4. User Accounts and Registration
If the App requires you to register an account, you agree to provide accurate and complete information during registration and to keep your account credentials confidential. You are responsible for all activities that occur under your account.
5. In-App Purchases and Payment
The App may offer in-app purchases for premium features or additional content. All transactions, payments, and refunds are processed exclusively by Apple App Store and Google Play in accordance with their respective policies. We are not responsible for any issues or disputes arising from these transactions.
6. User-Generated Content
Any visual associations, drawings, or mnemonic content you create within the App are intended solely for your personal learning purposes. Such content may not be used for group or commercial purposes. While you retain ownership of your content, you grant us a limited, non-exclusive license to store, display, and use your content within the App to provide our services.
7. Intellectual Property
All rights, title, and interest in the App, including its software, design, graphics, and underlying technology (including AI algorithms), are owned by us or our licensors. Except for the limited license granted above for user-generated content, no rights are transferred to you under this Agreement.
8. Use of AI and Third-Party Services
The App integrates AI features provided by OpenAI and translation services from Google Translate. While we strive to deliver accurate and useful information, we do not guarantee the accuracy or reliability of the AI suggestions or translations. We are not liable for any errors or inaccuracies resulting from these third-party services.
9. Privacy

10. Limitation of Liability
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.
11. Indemnification
You agree to indemnify and hold harmless Mnemorly, its officers, directors, employees, and affiliates from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the App or your violation of these Terms.
12. Termination
We reserve the right to suspend or terminate your access to the App at any time, without prior notice, for any conduct that we deem to violate these Terms or that may harm the App, its users, or third parties. Upon termination, your right to use the App will immediately cease.
13. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from or related to this Agreement or your use of the App shall be resolved exclusively in the courts located within the United States.
14. Changes to the Terms and Conditions
We may update these Terms and Conditions from time to time. If we make material changes, we will provide notice through the App or via email. Your continued use of the App after such changes constitutes your acceptance of the updated Terms.
